Throughout the site, the terms "we", "us" and "our" refer to Headspa Solutions.

By accessing or using this website, including all information, tools, and services available from this site, and/or making a commercial transaction from us, you agree to the following terms and conditions ("Terms of Service", "Terms"), and our disclaimer, including those additional terms and conditions and policies referenced herein and/or available by hyperlink. 

 

These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content. Please read these Terms of Service carefully before accessing or using our website headspasolutions.co. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

 

The omission by us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.  Any uncertainties in the interpretation of these Terms of Service shall not be construed against us.

We create statistics to improve the experience of our website visitors. We never use cookies for this purpose. As a website operator using TWIPLA to conduct reach measurement, depending on the level of data protection we have activated, we may process information about the device you are using and its characteristics, information about technical characteristics of the website visit, the number of page visits and statistically relevant behavior of our website visitors. The technology does not use the collected data to identify individual visitors or to match the data with additional information about an individual user. By agreeing to these Terms of Service, you acknowledge that our store is hosted on Wix.com, Inc., which provides us with the online e-commerce platform, if it is available, that allows us to sell our products and services to you.​

 

General Conditions

We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.​

We are not responsible if information made available on this site is not true, accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Product prices and product content or copy are subject to change without prior notice. We reserve the right to modify or discontinue any products or the Service (or any part thereof) at any time, without prior notice. We shall not be held liable to you or any third-party for any modifications, price changes, suspensions, or ceasing of the Service.​

 

Retail Products or Services

Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our  Retail Shipping & Returns Policy. We have made every effort to display as accurately as possible the colours and images of our products that appear physically in person. We cannot guarantee that your computer monitor's display of any colour will be accurate.

Accuracy of Billing and Account Information

We retain the right to decline any order placed with us. We may, at our discretion, restrict or cancel quantities purchased per person, per business, per location, per household, or per order. These limitations may extend to orders placed under the same customer account, credit card, and/or utilising identical billing and shipping details. Should we modify or cancel an order, we will make efforts to inform you by contacting the email address, billing address, or phone number provided during the order placement. We also reserve the authority to restrict or prohibit orders that, in our sole judgment, appear to originate from competitors, dealers, resellers, or distributors.​

 

Optional Tools

You may be able to access to third-party tools on our website. We neither monitor nor have any control nor input over these third-party webpages or tools. You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

User Comments, Feedback and Other Submissions

If you submit certain specific submissions at our request (such as contest entries) or voluntarily send creative ideas, suggestions, proposals, plans, or other materials, whether through online channels, email, postal mail, or any other means (collectively referred to as "comments"), you agree that we may use, without any restrictions, the right to edit, copy, publish, distribute, translate, or otherwise utilise these comments in any medium.

We are not obligated to maintain any comments in confidence, compensate you for any comments, or respond to any comments. Additionally, we reserve the right (but are not obligated) to monitor, edit, or remove any content that we deem in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party’s intellectual property or our Terms of Service.

You agree that your comments will not infringe upon any third-party rights, including copyright, trademark, privacy, personality rights, or other personal or proprietary rights. Furthermore, you agree that your comments will not contain any defamatory, abusive, or obscene material, nor any computer viruses or other malware that could impact the functionality of the Service or any associated website. You must not use a false email address, pretend to be someone else, or mislead us or third parties regarding the origin of any comments. You bear sole responsibility for the accuracy of your comments. We do not assume any liability for comments posted by you or any third party.

Indemnity

You agree to indemnify, defend, and hold harmless HeadSpa Solutions, our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees against any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

Payment Terms
Accepted Forms of Payment:

Major Banks Credit cards, PayPal, Stripe, Square and bank transfers are accepted and will be detailed on each invoice.

Invoiced transactions will have its terms outlined on each issued invoices.


B2B Starter Package Payment Dates:

Clearly define due dates or deadlines for payments. For example:
Upon receipt of the 10% holding deposit and approval of the quote, the contract agreement/proposal issued needs to be signed and returned within five business days. 

20% of the remaining balance is due within seven days of a fully executed contract agreement. If and only when this has occurred will the package order be placed.
Once the first or any portion of the shipment has been dispatched from the brand/manufacturer, 40% of remaining balance will be invoiced and due within fourteen days. If and only when this has occurred will training be delivered.

Once the first or any portion of the shipment has left the port of origin, the final 40% of the remaining balance is due within fourteen days. If and only when this has occurred will be delivered to the client.


Regular term subscription or membership fees (if any) are billed to the client by and will be paid directly to the provider of the subscriptions/membership service.


Device Subscription & B2B Membership Cancellation Rules:
Applicable customers can cancel their device/equipment subscription according to the subscription service’s terms and conditions and all related activities must be conducted directly with the device/equipment subscription provider without the involvement of Headspa Solutions.


Association Membership cancellation requests must be submitted in writing to HeadSpa Solutions and to the affected membership association.

HeadSpa Solutions' B2B Membership terms are for two years as stated in the HeadSpa Solutions B2B Client Agreement ("Agreement"), and unless otherwise agreed in writing at least three month's advance of its expiry, will continue as per the previous/original Agreement in its entirety.

 

Should HeadSpa Solutions approve cancellation of this Agreement, all future invoices will be cancelled. Any issued invoices where order has been placed, 50% of the invoice total must be paid by its due date as per the invoice. Remaining 50% of the invoice total will be refunded if applicable. No part of the order will be fulfiled.

 

All or a portion of the remaining store credits will be refunded at HeadSpa Solution's sole discretion.

 

HeadSpa Solutions may in its absolute discretion decide not to renew the Agreement beyond the Initial or Renewed Term.

 

If no cancellation requests or a new Agreement/Proposal is executed prior to the previous Agreement expiring, the same Agreement terms and conditions will roll over with the latest B2B pricing as per the latest B2B Member Shop pricing.

Any cancellation requests of HeadSpa Solutions' training and all other services must be submitted in writing to HeadSpa Solutions in advance of its commencement.


Late Payment Penalties:

Outline any penalties for late or missed payments:
Late payments may incur a 5% fee every week from the due date.
Accounts with outstanding balances may be suspended.


Terms & Conditions for B2B Packages & Consultation Calls

  • Negotiated B2B package orders and offers will only commence being processed, upon receipt of the holding deposit payment in full and a fully executed proposal/agreement for one of the selected packages listed above. 

  • These offer cannot be combined with any other offers or discounts. 

  • No refunds or exchange on the holding deposit for any other offers. 

  • The agreed package price is valid/redeemable within five business days from the receipt of this payment of the holding deposit.

  • Contract finalisation appointment must also occur within this period.

  • After which, if not actioned, the non-refundable deposit will be forfeited and the agreed package price will no longer be valid.

  • I understand that during the contract finalisation/consultation meeting the parties will be signing on to an agreement (with view to renew further as desired) to reorder/subscribe to Headspa Solutions' brand products and equipment only to uphold the supplier brands' quality and standards of service for the duration of the agreed terms.

  • Prices are exclusive of GST and shipping & handling and prices are subject to change without notice. A more accurate quote will be provided upon confirmed number of products are ordered.

  • The package figures are indicative guides only.

  • Estimated profit calculations in marketing materials are indicative earning potentials and do not guarantee client’s sales/profit/income.

  • Equipment do not include installation or plumbing costs.

  • Exclusive Pack terms and conditions may differ slightly and will be discussed and agreed during the contract appointment.

  • A Distributor Agreement will need to be signed and in place prior to any retail  products are sold or distributed.  

  • Further detailed terms and conditions will be outlined in the Agreement/Propsal. 

  • When performing HeadSpa Solutions and all its brands' techniques / programs, the member must use only products offered from the selected HeadSpa Solutions' brand as per the Agreement.

  • Any product, equipment/devices, training information discussed in the consultation or presntation calls are highly confidential and cannot be shared or discussed with anyone outside of the call participants, nor will I contact or have make any business dealings directly with the suppliers, vendors and business contacts discussed in this call and associated in any way with HeadSpa Solutions.

  • Any indicative quotes provided are all unique figures and cannot be transferred  to any other clients.

  • Traning: Module 5 onsite prac only available in Aust/NZ. Training bundle is only available to those who can take the prac. 
     

Wireless Scalp Scanner Software - Yearly Subscription Policy and Terms

Below outlines the policy and terms governing the yearly subscription plan for the wireless scalp scanner software (hereinafter referred to as the "Software"). Please note that the management of all user data, accounts, and subscription services is handled exclusively by the supplier company of the wireless scalp scanner device (hereinafter referred to as the "Device Supplier"). HeadSpa Solutions assumes no responsibility or liability for the management, security, or integrity of your data, account, or subscription. By subscribing to this plan, you (hereinafter referred to as the "Subscriber" or "you") agree to be bound by these terms.

1. Subscription Details:

  • Subscription Name: Wireless Scalp Scanner Software 

  • Subscription Fee: $500.00 USD (Five Hundred United States Dollars) per year.

  • Payment Currency: All payments will be processed in Australian Dollars (AUD) equivalent to the USD amount at the prevailing exchange rate determined by our payment processor at the time of billing.

  • Subscription Period: Twelve (12) months, commencing on the date of the initial successful payment.

  • Access: Upon successful payment, the Subscriber will be granted access to the Software for the duration of the yearly subscription period. This access is typically provided through a secure online portal or application managed by the Device Supplier.

  • Included Features: The yearly subscription includes access to the core features of the Software as described in the current feature list available on our website or provided separately. This may include data capture, analysis tools, reporting features, and basic customer support provided by the Device Supplier.
     

2. Billing and Payment:

  • Initial Payment: The initial subscription fee is payable upon sign-up through the Device Supplier's designated payment system. Access to the Software will be granted only after the initial payment is successfully processed by the Device Supplier.

  • Recurring Billing: The subscription will automatically renew for another twelve (12) month period at the end of each subscription year. You authorise the Device Supplier to automatically charge the then-current yearly subscription fee (in AUD equivalent of $500.00 USD) to your designated payment method managed by them.

  • Payment Method: Subscribers are required to provide valid and up-to-date payment information (e.g., credit card details) to the Device Supplier. You are responsible for ensuring that your payment information remains accurate throughout the subscription period as managed by the Device Supplier.

  • Payment Failure: If a payment fails due to insufficient funds, expired card details, or any other reason, the Device Supplier will notify you and may suspend your access to the Software until the outstanding balance is paid to them. We reserve the right to retry the payment through their system.

  • Price Changes: The Device Supplier and/or HeadSpa Solutions reserves the right to change the subscription fee at the end of a subscription year. They will provide you with reasonable advance notice (at least seven (7) days) of any price changes, and you will have the option to cancel your subscription before the new price takes effect through their cancellation process. Continued use of the Software after the price change notification period constitutes your acceptance of the new fee as determined by the Device Supplier.

  • Taxes: All fees are exclusive of any applicable taxes (such as GST in Australia), which will be added to the invoice where applicable and payable by the Subscriber to the Device Supplier.
     

3. Cancellation and Refunds:

  • Cancellation by Subscriber: You may cancel your subscription at any time through the Device Supplier's designated cancellation process. To do so, you must follow the cancellation procedures outlined in your account settings managed by the Device Supplier or by contacting their customer support.

  • Cancellation Effective Date: If you cancel your subscription, the cancellation will be effective at the end of the current billing cycle as determined by the Device Supplier. You will continue to have access to the Software until the end of your paid subscription period as managed by the Device Supplier.

  • No Refunds: Unless explicitly stated otherwise in a separate agreement with the Device Supplier or required by applicable law, subscription fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused portions of the Software.

  • Cancellation by Us: We reserve the right to inform the Device Supplier of any circumstances that might warrant suspension or termination of your access, such as violation of these terms. However, the Device Supplier retains the sole right to suspend or terminate your subscription. Any refunds in such cases will be at the Device Supplier's discretion.
     

4. Software Usage and License:

  • License Grant: Upon successful payment of the subscription fee to the Device Supplier, we grant you a non-exclusive, non-transferable, limited license to access and use the Software for your internal business purposes, subject to these terms.
     

5. Support and Maintenance:

  • Basic Support: The yearly subscription includes access to basic customer support, which may include email support, access to online documentation, and FAQs as provided by the Device Supplier.

  • Response Times: While they will strive to ensure the Software functions as intended, response times for support are determined by the Device Supplier.

  • Updates and Maintenance: The Device Supplier may, from time to time, release updates, enhancements, and bug fixes for the Software. These updates will generally be included as part of your subscription and managed by us.
     

6. Data Privacy and Security:

  • All data management, privacy, and security protocols are the sole responsibility of the Device Supplier. Please refer to their privacy policy for details on how your information is collected, used, and protected. HeadSpa Solutions holds no responsibility for the security or privacy of your data within the Software.

  • You are responsible for maintaining the security of your account credentials as provided and managed by the Device Supplier and for all activities that occur under your account.
     

7. Disclaimer of Warranties:

  • THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
     

8. Limitation of Liability:

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL1 HEADSPA SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES RECEIVED BY HEADSPA SOLUTIONS (if any, for our direct services) DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE. Any claims related to subscription management, data handling, or account access should be directed to the Device Supplier.
     

9. Governing Law and Dispute Resolution:

  • These terms, specifically concerning the provision of the Software by HeadSpa Solutions, shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles.

  • Any dispute arising out of or relating to these specific terms regarding the Software provided by HeadSpa Solutions shall be subject to the exclusive jurisdiction of the courts located in New South Wales, Australia. Disputes related to data, accounts, or subscriptions managed by the Device Supplier should be addressed according to their terms and conditions.
     

10. Entire Agreement:

  • These terms constitute the entire agreement between you and HeadSpa Solutions regarding the yearly subscription for the Software provided by us and supersede all prior or contemporaneous communications and proposals, whether oral or written. Agreements regarding data, accounts, and subscriptions are between you and the Device Supplier.
     

11. Modifications to These Terms:

  • We reserve the right to modify these terms related to the Software provided by HeadSpa Solutions at any time. We will provide you with reasonable advance notice of any material changes. Your continued use of the Software after the effective date of any changes constitutes your acceptance of the revised terms. The Device Supplier will manage any modifications to their terms related to data, accounts, and subscriptions.
