(d) A Distributor Agreement will be issued and executed prior to any retail products are sold or distributed. (e) No B2B sales by the Client will be allowed under any circumstances. Enquiries The Client will immediately refer to the Company all enquiries which it receives from persons outside the Territory regarding the Products, Equipment and Training Materials and certification for operation of a head spa business. In Store & Online Promotions by stockists The Client must at all times during the Term promote the sale and marketing of the Products and Equipment only using the Trade Mark and brands of the Company at its own cost in the Territory. The Client must submit all proposed promotional or advertising material relating to the Products and equipment to the Company for approval (which approval may be withheld by the Company in its absolute discretion) and will not use any such promotional or advertising material until such approval has been given by the Company. When marketing and selling the Products and Equipment, the Client: (a) must not alter, remove or tamper with any serial numbers or any trade marks comprising part of the Intellectual Property or any marks displayed on the Products and Equipment supplied by the Company or with the packaging of those Products and Equipment; (b) must not repackage the Products and Equipment unless agreed by the Company; (c) must not use any other trade marks or brand names in relation to the Products and Equipment unless authorised in writing by the Company; and (d) must comply with all reasonable written directions by the Company in relation to the use of trade marks comprising part of the Intellectual Property and any marks displayed on the Products and Equipment supplied by the Company or with the packaging of those Products and Equipment. The Client must: (a) make arrangements for the advertisement and display of the Products and Equipment at its premises; and (b) provide adequate facilities for demonstrations of the operation of the Products and Equipment to potential customers; Unless the Client has obtained the Company’s prior written consent to the contrary, the Client must comply with the reasonable instructions of the Company as to the use or amendment of any advertising, publicity, sales literature and any other documents relating to the Products and Equipment. In carrying out their respective obligations under this term the parties must each comply with all Legislative Requirements relating to the promotion, marketing and sales of Products and Equipment and nothing in this term: (a) is intended to compel; (b) must be deemed to compel; or (c) must be construed as compelling, any party to act in breach of any such Legislative Requirement. NO WARRANTY OR REPRESENTATION BY CLIENT ON COMPANY’S BEHALF No warranty or representation The Client must: (a) not make any express warranty or representation on the Company’s behalf in the Client’s sale and distribution of the Products and Equipment including any terms and conditions of sale to End Users; and (b) include a conspicuous provision in any terms and conditions of sale to the effect that to the extent permitted by law all implied warranties of merchantability or fitness for a particular purpose with respect to Products and Equipment are disclaimed by the Company and the Client and any liability limited to replacement of goods and services only with no consequential loss. Indemnity for Failure to Disclaim Warranty The Client must indemnify and keep indemnified the Company against any loss, costs (including legal costs and expenses on an indemnity basis), expenses, demands or liability, whether direct or indirect or resulting from any negligence or otherwise, arising out of: (a) the Client’s failing to include a provision in the form stated in above clause in any terms and conditions of sale to End Users; or (b) the Client’s making any representation or warranty about the Products and equipment not authorised by the Company. Payment Terms Accepted Forms of Payment: Major Banks Credit cards, PayPal, Stripe, Square and bank transfers are accepted and will be detailed on each invoice. Invoiced transactions will have its terms outlined on each issued invoices. HeadSpa Solutions: Wholesale/B2B Minimum Initial Order Policy This policy outlines the minimum purchase requirement that must be met by a client (hereafter referred to as "Client," "Reseller," or "Wholesale Partner") to qualify for and maintain HeadSpa Solutions' wholesale/Business-to-Business (B2B) pricing structure. 1. Initial Order Requirement To activate and qualify for HeadSpa Solutions' wholesale/B2B pricing, the Client must place an Initial Order that meets the following criteria: Minimum Value (Excluding Tax and Shipping): The total value of HeadSpa Solutions products and/or equipment purchased in the Initial Order must be a minimum of $5,500.00 AUD (Five Thousand Five Hundred Australian Dollars). Goods and Services Tax (GST): The required minimum value of $5,500.00 AUD is exclusive of GST. Applicable GST will be added to the final invoice total. Shipping/Freight Costs: All associated shipping, freight, delivery, handling, and insurance charges are excluded from the $5,500.00 AUD minimum calculation. 2. Timeframe for Completion The Client must achieve the minimum purchase requirement outlined in Section 1 within a period of four (4) consecutive weeks (28 calendar days), beginning from the date the Client’s wholesale application is formally approved by HeadSpa Solutions or the date of the first order placed under the provisional wholesale account, whichever occurs first. 3. Application of Wholesale Pricing Prior to Minimum Met: Wholesale/B2B pricing will be provisionally applied to orders placed during the four-week qualifying period. If Minimum is Met: Once the combined total of orders placed within the four-week period equals or exceeds $5,500.00 AUD (exc. GST and shipping), the Client's wholesale account status will be confirmed, and the wholesale pricing will be fully and permanently applied (subject to any subsequent ongoing maintenance requirements). If Minimum is NOT Met: If the Client fails to meet the $5,500.00 AUD minimum purchase within the four-week qualifying period: Any provisional wholesale pricing applied to orders placed during this period will be reverted to the standard retail price. The Client will be invoiced for the difference between the wholesale price paid and the standard retail price for all products purchased. The Client’s account will be transitioned to a standard retail account, and future orders will be charged at the standard retail price until a new Initial Order application is submitted and approved. 4. Products Covered The minimum purchase requirement applies to any combination of products and/or equipment sold by HeadSpa Solutions, unless specifically excluded in writing by HeadSpa Solutions. 5. Disclaimer HeadSpa Solutions reserves the right to amend, update, or terminate this policy at any time, with reasonable notice provided to its Clients. Compliance with this policy is mandatory for access to HeadSpa Solutions' wholesale/B2B pricing. B2B Starter Package Payment Dates: Clearly define due dates or deadlines for payments. For example: Upon receipt of the 10% holding deposit the quoted amount will be honoured, the contract agreement/proposal email issued needs to be signed or approval email returned within five business days. 100% of the remaining balance is due within seven days of a fully executed contract agreement. If and only when this has occurred will the package order be placed. If and only when this has occurred will training and order will be delivered or fulfilled in full. Regular term subscription or membership fees (if any) are billed to the client by and will be paid directly to the provider of the subscriptions/membership service. Default on Payment and Forfeiture of all sales items and packages: All payments for packages or sale items must be made in full by the specific due date(s) outlined in the relevant invoice, written agreement, or official email correspondence. Failure to complete the full payment by the specified deadline will result in the immediate forfeiture of 100% of all monies paid to date. In the event of such a default, HeadSpa Solutions shall be under no obligation to fulfill any part of the order, provide any products, or perform any services associated with the purchase. The client acknowledges that these funds are retained as liquidated damages to cover administrative costs and lost opportunities, and are non-refundable and non-transferable. Device Subscription & B2B Membership Cancellation Rules: Applicable customers can cancel their device/equipment subscription according to the subscription service’s terms and conditions and all related activities must be conducted directly with the device/equipment subscription provider without the involvement of Headspa Solutions. Association Membership cancellation requests must be submitted in writing to HeadSpa Solutions and to the affected membership association. HeadSpa Solutions' B2B Membership terms are for two years as stated in the HeadSpa Solutions B2B Client Agreement ("Agreement"), and unless otherwise agreed in writing at least three month's advance of its expiry, will continue as per the previous/original Agreement in its entirety. Should HeadSpa Solutions approve cancellation of this Agreement, all future invoices will be cancelled. Any issued invoices where order has been placed, 50% of the invoice total must be paid by its due date as per the invoice. Remaining 50% of the invoice total will be refunded if applicable. No part of the order will be fulfiled. All or a portion of the remaining store credits will be refunded at HeadSpa Solution's sole discretion. \ HeadSpa Solutions may in its absolute discretion decide not to renew the Agreement beyond the Initial or Renewed Term. If no cancellation requests or a new Agreement/Proposal is executed prior to the previous Agreement expiring, the same Agreement terms and conditions will roll over with the latest B2B pricing as per the latest B2B Member Shop pricing. Any cancellation requests of HeadSpa Solutions' training and all other services must be submitted in writing to HeadSpa Solutions in advance of its commencement. Late Payment Penalties: Outline any penalties for late or missed payments: Late payments may incur a 5% fee every week from the due date. Accounts with outstanding balances may be suspended. Terms & Conditions for shipping & handling, B2B Packages & Consultation Calls Negotiated B2B package orders and offers will only commence being processed, upon receipt of the holding deposit payment in full and a fully executed proposal/agreement for one of the selected packages listed above. These offer cannot be combined with any other offers or discounts. No refunds or exchange on the holding deposit for any other offers. The agreed package price is valid/redeemable within five business days from the receipt of this payment of the holding deposit. Contract finalisation appointment must also occur within this period. After which, if not actioned, the non-refundable deposit will be forfeited and the agreed package price will no longer be valid. I understand that during the contract finalisation/consultation meeting the parties will be signing on to an agreement (with view to renew further as desired) to reorder/subscribe to Headspa Solutions' brand products and equipment only to uphold the supplier brands' quality and standards of service for the duration of the agreed terms. Prices are exclusive of GST and shipping & handling, and are exclusive of any customs, duties, taxes, or fees related to international and local shipping, or importing goods. The prices are subject to change without notice. A more accurate quote will be provided upon confirmed number of products are ordered. The customer is solely responsible for paying all such charges and for complying with the customs laws and regulations of their destination country. We are not responsible for any delays or issues that may arise from a failure to pay these fees or comply with import regulations. In the case that the recipient refuses to receive the parcel, the order will be returned to HeadSpa Solutions and will not be re-shipped. Relevant expenses (round-trip shipping, customs, etc.) will be deducted from the refund. By placing an order with us, you acknowledge and agree to these terms. The package figures are indicative guides only. Estimated profit calculations in marketing materials are indicative earning potentials and do not guarantee client’s sales/profit/income. Equipment do not include installation or plumbing costs. Exclusive Pack terms and conditions may differ slightly and will be discussed and agreed during the contract appointment. A Distributor Agreement will need to be signed and in place prior to any retail products are sold or distributed. Further detailed terms and conditions will be outlined in the Agreement/Propsal. When performing HeadSpa Solutions and all its brands' techniques / programs, the member must use only products offered from the selected HeadSpa Solutions' brand as per the Agreement. Any product, equipment/devices, training information discussed in the consultation or presntation calls are highly confidential and cannot be shared or discussed with anyone outside of the call participants, nor will I contact or have make any business dealings directly with the suppliers, vendors and business contacts discussed in this call and associated in any way with HeadSpa Solutions. Any indicative quotes provided are all unique figures and cannot be transferred to any other clients. Traning: Module 5 onsite prac only available in Aust/NZ. Training bundle is only available to those who can take the prac. Wireless Scalp Scanner Software - Yearly Subscription Policy and Terms Below outlines the policy and terms governing the yearly subscription plan for the wireless scalp scanner software (hereinafter referred to as the "Software"). Please note that the management of all user data, accounts, and subscription services is handled exclusively by the supplier company of the wireless scalp scanner device (hereinafter referred to as the "Device Supplier"). HeadSpa Solutions assumes no responsibility or liability for the management, security, or integrity of your data, account, or subscription. By subscribing to this plan, you (hereinafter referred to as the "Subscriber" or "you") agree to be bound by these terms. 1. Subscription Details: Subscription Name: Wireless Scalp Scanner Software Subscription Fee: $400.00 USD (Four Hundred United States Dollars) per year. Payment Currency: All payments will be processed in Australian Dollars (AUD) equivalent to the USD amount at the prevailing exchange rate determined by our payment processor at the time of billing. Subscription Period: Twelve (12) months, commencing on the date of the initial successful payment. Access: Upon successful payment, the Subscriber will be granted access to the Software for the duration of the yearly subscription period. This access is typically provided through a secure online portal or application managed by the Device Supplier. Included Features: The yearly subscription includes access to the core features of the Software as described in the current feature list available on our website or provided separately. This may include data capture, analysis tools, reporting features, and basic customer support provided by the Device Supplier. 2. Billing and Payment: Initial Payment: The initial subscription fee is payable upon sign-up through the Device Supplier's designated payment system. Access to the Software will be granted only after the initial payment is successfully processed by the Device Supplier. Recurring Billing: The subscription will automatically renew for another twelve (12) month period at the end of each subscription year. You authorise the Device Supplier to automatically charge the then-current yearly subscription fee (in AUD equivalent of $500.00 USD) to your designated payment method managed by them. Payment Method: Subscribers are required to provide valid and up-to-date payment information (e.g., credit card details) to the Device Supplier. You are responsible for ensuring that your payment information remains accurate throughout the subscription period as managed by the Device Supplier. Payment Failure: If a payment fails due to insufficient funds, expired card details, or any other reason, the Device Supplier will notify you and may suspend your access to the Software until the outstanding balance is paid to them. We reserve the right to retry the payment through their system. Price Changes: The Device Supplier and/or HeadSpa Solutions reserves the right to change the subscription fee at the end of a subscription year. They will provide you with reasonable advance notice (at least seven (7) days) of any price changes, and you will have the option to cancel your subscription before the new price takes effect through their cancellation process. Continued use of the Software after the price change notification period constitutes your acceptance of the new fee as determined by the Device Supplier. Taxes: All fees are exclusive of any applicable taxes (such as GST in Australia), which will be added to the invoice where applicable and payable by the Subscriber to the Device Supplier. 3. Cancellation and Refunds: Cancellation by Subscriber: You may cancel your subscription at any time through the Device Supplier's designated cancellation process. To do so, you must follow the cancellation procedures outlined in your account settings managed by the Device Supplier or by contacting their customer support. Cancellation Effective Date: If you cancel your subscription, the cancellation will be effective at the end of the current billing cycle as determined by the Device Supplier. You will continue to have access to the Software until the end of your paid subscription period as managed by the Device Supplier. No Refunds: Unless explicitly stated otherwise in a separate agreement with the Device Supplier or required by applicable law, subscription fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused portions of the Software. Cancellation by Us: We reserve the right to inform the Device Supplier of any circumstances that might warrant suspension or termination of your access, such as violation of these terms. However, the Device Supplier retains the sole right to suspend or terminate your subscription. Any refunds in such cases will be at the Device Supplier's discretion. 4. Software Usage and License: License Grant: Upon successful payment of the subscription fee to the Device Supplier, we grant you a non-exclusive, non-transferable, limited license to access and use the Software for your internal business purposes, subject to these terms. 5. Support and Maintenance: Basic Support: The yearly subscription includes access to basic customer support, which may include email support, access to online documentation, and FAQs as provided by the Device Supplier. Response Times: While they will strive to ensure the Software functions as intended, response times for support are determined by the Device Supplier. Updates and Maintenance: The Device Supplier may, from time to time, release updates, enhancements, and bug fixes for the Software. These updates will generally be included as part of your subscription and managed by us. 6. Data Privacy and Security: All data management, privacy, and security protocols are the sole responsibility of the Device Supplier. Please refer to their privacy policy for details on how your information is collected, used, and protected. HeadSpa Solutions holds no responsibility for the security or privacy of your data within the Software. You are responsible for maintaining the security of your account credentials as provided and managed by the Device Supplier and for all activities that occur under your account. 7. Any dispute arising out of or relating to these specific terms regarding the Software provided by HeadSpa Solutions shall be subject to the exclusive jurisdiction of the courts located in New South Wales, Australia. Disputes related to data, accounts, or subscriptions managed by the Device Supplier should be addressed according to their terms and conditions. 10. Entire Agreement: These terms constitute the entire agreement between you and HeadSpa Solutions regarding the yearly subscription for the Software provided by us and supersede all prior or contemporaneous communications and proposals, whether oral or written. Agreements regarding data, accounts, and subscriptions are between you and the Device Supplier. 11. Modifications to These Terms: We reserve the right to modify these terms related to the Software provided by HeadSpa Solutions at any time. We will provide you with reasonable advance notice of any material changes. Your continued use of the Software after the effective date of any changes constitutes your acceptance of the revised terms. HeadSpa Solutions' Shipping, Exchange, Returns, Refunds Policies. Shipping & Returns Shipping Policy Shipping Areas We currently ship to all states, territories and regions of Australia, New Zealand and the surrounding islands (Oceania). For all international orders outside of Australia, shipping and handling for orders above certain weight may need be quoted separately and may require additional shipping fees. Shipping Methods & Rates We offer both air and sea shipping methods for B2B Starter Packages or bulk orders above a certain weight only. Local national shipping rates will be calculated based on the shipping address, shipping method, and weight/dimensions of the order and shown at check out for all scalp care products and small tools. For larger, heavier devices, furniture and machines, it will be quoted by a preferred third party shipping/courier company on behalf of the client. You will see the estimated shipping cost during the checkout process for orders from Oceania countries under certain weight limit. All prices listed on our website are exclusive of any local delivery, customs, duties, taxes, or fees related to international shipping, handling, or importing goods. If instructions are given to return any Intellectual Property to Headspa Solutions, all prior requested steps of proof or purchase, photo evidence of the product state upon receipt, must be adhered to and the requested Intellectual Property and/or items must be returned within five Business Days to the address specified by the Company, and must discontinue its use or display immediately upon receipt of the first notice. Exchange Window: Faulty products and/or equipment must be sent back to Headspa Solutions within five business days of the receipt of the products or equipment, with all requested proof of evidence. Items received after this period may not be eligible for an exchange. Eligibility Criteria: Products must be unused, in their original packaging, and with tags attached. We reserve the right to refuse returns that do not meet these criteria. Any Products or Equipment which is in question to be defective or damaged must not be sold, used, or activated during this entire process pending the Company’s further instructions. Online Training Courses and Practical Training No Refunds for Training Once Commenced: Once any training course has begun, including access to course materials, online modules, or initial sessions, there are no refunds for the course or any associated costs involved in the training and certification. Practical Training – No Refunds After Payment: Specifically, once payment for the Module 5 onsite practical training (the 'Prac') has been processed, no refunds will be issued for this module under any circumstances. This practical training is exclusively available in Australia and New Zealand. The Training Bundle is only suitable for those who can attend the practical component. Change of Mind: Please choose carefully. We generally do not offer refunds or exchanges for a 'change of mind' regarding any training course or product, including training bundles, once the purchase is complete.
